Terms of service
These terms are between Ridepro Learning Private Limited, 105 Shaalimaar Complex, 19/1 Manoromaganj, Indore 452001, India ("Samparkk") and the business that signs up for the service (the "Customer").
1. The service
Samparkk provides an AI calling agent that places outbound calls, and takes inbound calls where that is enabled, to contacts the Customer supplies. It records and transcribes the calls, tags outcomes and sends results to the Customer's systems, such as the Samparkk CRM or Zoho CRM. The service is for business use only. The plan, lines, users and add-ons are those in the Customer's order form or on the pricing page when the Customer signed up.
2. Accounts
- The Customer gives accurate sign-up details and keeps its users' logins and API keys secret. It is responsible for everything done through its account.
- The Customer tells us promptly at hello@samparkk.ai if it suspects a key or login has been misused.
- The person who signs up confirms they can bind the business to these terms.
3. Customer responsibilities
- The Customer warrants that it has consent, or another lawful basis, to call every number it uploads or sends from a CRM, and that it can show this if asked.
- The Customer is responsible for checking its lists against the National Customer Preference Register (NCPR, the DND register), for obeying the TRAI telecom commercial communications rules that apply to its calls, and for any telecom registrations its use case needs. Samparkk does not scrub lists against the NCPR and does not check DLT registration or number series.
- The Customer owns its script. It is responsible for what the agent is told to say and for the accuracy of any offer, price or claim in it.
- The Customer keeps to the acceptable-use policy.
- The Customer is the data fiduciary for its contacts' personal data under India's Digital Personal Data Protection Act, 2023, and Samparkk is its processor. See the privacy policy.
4. What the service does check
Samparkk checks the Customer's own do-not-call list before every dial, adds a number to it when a person asks not to be called again, and by default places calls only between 8:45 and 21:00 IST. The window is configurable per customer. These checks help the Customer comply; they do not replace its own duties in section 3.
5. Fees, GST and the prepaid wallet
- What you pay. A one-time setup fee, a monthly platform fee for the chosen plan, a charge for each billable call, and any add-ons, as stated on the pricing page or in the order form. A billable call, and the extra charge for minutes beyond the three each call covers, are defined there.
- GST. Prices exclude GST, which is added at the prevailing rate. Invoices carry our GSTIN.
- Prepaid wallet. Call usage is drawn from the Customer's prepaid wallet. The Customer tops the wallet up; calling can pause when the balance runs out. Platform fees are billed monthly in advance and usage monthly in arrears, as set out on the pricing page.
- Included call blocks do not roll over to the next month.
- Disputes. The Customer raises a billing query within 30 days of the invoice by writing to hello@samparkk.ai. Call durations are those logged by the telephony provider.
6. AI-generated content
The agent's words are produced by speech and language models. They can be wrong, can mishear, and can phrase things in ways the Customer did not intend. Samparkk tunes and reviews the agent with the Customer, but does not promise that every sentence will be accurate or suitable. The Customer reviews its script and call samples, and tells us when something needs fixing. By default the agent says it is an AI when a caller asks. The Customer must not configure or instruct the agent to claim to be human.
7. Recordings, transcripts and data
Calls are recorded and transcribed. Recordings, transcripts and outcomes belong to the Customer's account and can be exported. Samparkk uses them to run, review and tune the Customer's agent. It does not sell them or use them to train AI models offered to other customers. The Customer is responsible for any further notice its contacts are entitled to about recording. Retention follows the setting on the account or the customer contract. Providers that process calls for Samparkk are listed in the privacy policy.
8. Availability
We aim to keep the service running but do not promise it will be uninterrupted or error-free. Calls depend on telephony and speech providers outside our control, and we may hold or slow calling when a provider is failing. Planned maintenance is announced where practical. No service level is promised unless it is agreed in the order form.
9. Suspension
We may pause calling or suspend an account if we reasonably believe the service is being used in breach of these terms or the acceptable-use policy, or in a way that puts our telephony numbers, providers or other customers at risk. Where we can, we tell the Customer first and say why.
10. Liability
To the extent the law allows: the service is provided as is, without warranties not stated in these terms; Samparkk is not liable for indirect or consequential loss, lost profits, lost revenue or lost goodwill, or for the Customer's breach of calling, consent or telecom rules; and Samparkk's total liability is limited to the fees the Customer paid in the 12 months before the event giving rise to the claim. Nothing in these terms limits liability that the law does not allow to be limited. The Customer will cover Samparkk for claims from third parties that arise from the Customer's lists, scripts or breach of section 3 or the acceptable-use policy.
11. Term and termination
Calling plans are monthly. The Customer can cancel before the next billing date and no further platform fee is charged; usage already incurred is still billed. CRM bundles have a three-month minimum term and are monthly after that. Either side may end the agreement on 30 days written notice, or immediately for the other's material breach that is not fixed within 30 days. On termination, calling stops, unpaid fees fall due, and the Customer can export its data for 30 days; after that it is handled under the account's retention setting, or deleted on request.
12. Zoho CRM extension
- The Samparkk AI First Pass extension for Zoho CRM is free on Zoho. Calls it triggers are billed to the Customer's Samparkk account as in section 5.
- The Customer's Zoho administrator authorises Samparkk at install. Anyone who installs it for an organisation confirms they may do so for that organisation.
- For each Lead a user sends, the Customer's Zoho organisation passes Samparkk the Lead's name, phone number and a few fields. Samparkk writes outcomes back into the Customer's own Zoho organisation, as described in the Zoho CRM integration page and the extension guide.
- Samparkk stores an encrypted Zoho token to do that. The Customer can disconnect in the Settings widget, remove Samparkk AI First Pass under Zoho Accounts, Sessions, Connected Apps, or uninstall the extension, which deletes the stored token.
- Zoho's own terms apply to the Customer's use of Zoho. Samparkk is not responsible for Zoho outages, limits or changes.
13. Changes to these terms
We may update these terms. We will give the Customer notice of material changes by email to the account owner, and continued use after the notice period means the Customer accepts them.
14. Governing law
These terms are governed by the laws of India. The parties will first try to settle any dispute by good-faith negotiation for 30 days. If it is not settled, it goes to a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration is Indore and the language is English. Subject to that, the courts at Indore have exclusive jurisdiction, including for interim relief.
